MUSIC LICENSE AGREEMENT

THIS MUSIC LICENSE AGREEMENT (the "Agreement") is made and entered into as of
September 4, 2026, by and between:

(a registered company in the Province of Ontario, Canada)

(hereinafter referred to as "Licensor")

AND

LICENSEE:

RECITALS
════════════════════════════════════════════════════════════════════════════════

WHEREAS, Licensor is the sole and exclusive owner of all rights, title, and
interest in and to the musical composition and master sound recording entitled
"[COMPOSITION TITLE]" (the "Beat" or "Composition"), including all
underlying instrumental tracks and derivative works thereof;

WHEREAS, Licensee, recording artist "[ARTIST NAME]", desires to obtain a
license to use the Beat for the purposes hereinafter set forth;

NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, and for good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF LICENSE
════════════════════════════════════════════════════════════════════════════════

1.1 Subject to the terms and conditions of this Agreement and upon receipt of
    the License Fee set forth in Section 5, Licensor hereby grants to Licensee
    a NON-EXCLUSIVE, non-transferable, non-sublicensable license to:

    (a) Reproduce the Beat in the context of one (1) new musical composition
        created by Licensee incorporating the Beat (the "New Composition");

    (b) Distribute and sell the New Composition in digital and physical formats
        up to a maximum of 100,000 combined streams/downloads;

    (c) Perform the New Composition publicly, including live performances;

    (d) Create one (1) accompanying music video for the New Composition for
        upload to digital platforms (e.g., YouTube, Vimeo);

    (e) Broadcast the New Composition on radio (terrestrial and internet)
        up to 2 licensed station(s).

1.2 This license expressly EXCLUDES the right to:

    (a) Sub-license, sell, transfer, or assign any rights granted hereunder
        to any third party without prior written consent of Licensor;

    (b) Use the Beat in synchronization with any film, TV, advertisement,
        game, or other audio-visual work beyond the one music video permitted
        above, without a separate Sync License from Licensor;

    (c) Register the Beat itself (or any derivative of the underlying
        instrumental) with any copyright authority, PRO, or content ID system
        without Licensor's express written consent;

    (d) Claim authorship or ownership of the underlying musical composition
        or Beat in whole or in part.

2. OWNERSHIP & COPYRIGHT
════════════════════════════════════════════════════════════════════════════════

2.1 Licensor retains all rights, title, and interest in the Beat, including
    copyright in the musical composition and master recording, under the
    Copyright Act (R.S.C., 1985, c. C-42) of Canada and all applicable
    international treaties.

2.2 Licensee acknowledges that no ownership interest in the Beat is conveyed
    by this Agreement. Licensee's New Composition shall be a separate
    copyright work owned by Licensee, subject to Licensor's underlying rights
    in the Beat.

2.3 Licensor retains 100% of the publishing rights in the underlying
    musical composition (Beat). Licensee shall retain 100% of the master
    recording rights in the New Composition (the vocal/performance layer).

2.4 Licensee shall credit Licensor on all releases as follows:
    "Produced by TUNESHACK RECORDS / FMG-6IX"

3. TERRITORY & TERM
════════════════════════════════════════════════════════════════════════════════

3.1 Territory: Worldwide

3.2 Term: This Agreement shall commence on the Effective Date and continue
    for a period of 2 year(s) from the date of first commercial release of
    the New Composition, unless terminated earlier in accordance with
    Section 9 hereof.

3.3 Upon expiration of the Term, all rights granted hereunder shall
    automatically revert to Licensor, and Licensee shall immediately cease
    all exploitation of the New Composition incorporating the Beat.

4. LICENSE TYPE
════════════════════════════════════════════════════════════════════════════════

4.1 This license is NON-EXCLUSIVE. Licensor retains the right to license the Beat to other parties simultaneously.

4.2 License Tier: BASIC

5. LICENSE FEE
════════════════════════════════════════════════════════════════════════════════

5.1 In consideration for the rights granted herein, Licensee agrees to pay
    Licensor a one-time, non-refundable License Fee of:

    CAD $[AMOUNT] (Canadian Dollars)

5.2 Payment is due in full upon execution of this Agreement. This Agreement
    shall not be effective until full payment is received.

5.3 All fees are exclusive of applicable taxes. Licensee is responsible for
    any HST, GST, or other applicable taxes in their jurisdiction.

5.4 Royalties: This is a flat-fee license. No additional royalties are owed
    to Licensor except as required by law through performing rights
    organizations (e.g., SOCAN). Each party is responsible for registering
    with their respective PRO.

6. DELIVERY
════════════════════════════════════════════════════════════════════════════════

6.1 Upon receipt of full payment, Licensor shall deliver to Licensee the
    licensed Beat file in the agreed format (MP3 and/or WAV as per tier)
    via digital download or email within 3 business days.

7. WARRANTIES & REPRESENTATIONS
════════════════════════════════════════════════════════════════════════════════

7.1 Licensor represents and warrants that:

    (a) Licensor has full power and authority to enter into this Agreement
        and grant the rights herein;

    (b) The Beat is an original work and does not, to the best of Licensor's
        knowledge, infringe upon any third-party intellectual property rights;

    (c) The Beat is free of any encumbrances that would prevent Licensee
        from exercising the rights granted herein.

7.2 Licensee represents and warrants that:

    (a) Licensee has full power and authority to enter into this Agreement;

    (b) The New Composition shall not contain any defamatory, obscene, or
        unlawful content;

    (c) Licensee shall independently obtain all clearances for any samples,
        third-party compositions, or other third-party materials used in the
        New Composition beyond the licensed Beat;

    (d) Licensee shall comply with all applicable laws in connection with
        the exploitation of the New Composition.

8. INDEMNIFICATION
════════════════════════════════════════════════════════════════════════════════

8.1 Each party ("Indemnifying Party") shall indemnify, defend, and hold
    harmless the other party ("Indemnified Party") and its officers,
    directors, employees, and agents from and against any and all claims,
    damages, losses, liabilities, costs, and expenses (including reasonable
    legal fees) arising out of or relating to:

    (a) Any breach of this Agreement by the Indemnifying Party;

    (b) Any claim that the Indemnifying Party's contributions infringe or
        misappropriate any third-party intellectual property rights.

9. TERMINATION
════════════════════════════════════════════════════════════════════════════════

9.1 Licensor may terminate this Agreement immediately upon written notice if:

    (a) Licensee breaches any material term of this Agreement and fails to
        cure such breach within 10 days of written notice;

    (b) Licensee becomes insolvent, bankrupt, or makes an assignment for the
        benefit of creditors;

    (c) Licensee uses the Beat beyond the scope of rights granted herein.

9.2 Upon termination, Licensee shall immediately:

    (a) Cease all use, distribution, and exploitation of the New Composition;

    (b) Remove the New Composition from all digital platforms and stores;

    (c) Destroy or return all copies of the Beat in Licensee's possession.

9.3 The License Fee is non-refundable upon termination by Licensor for
    Licensee's breach. In the event of termination by Licensee for
    Licensor's material breach, a pro-rated refund may be negotiated in
    good faith.

10. LIMITATION OF LIABILITY
════════════════════════════════════════════════════════════════════════════════

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
     LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
     OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT
     OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE
     POSSIBILITY OF SUCH DAMAGES.

10.2 LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT
     EXCEED THE LICENSE FEE PAID BY LICENSEE.

11. GOVERNING LAW & DISPUTE RESOLUTION
════════════════════════════════════════════════════════════════════════════════

11.1 This Agreement shall be governed by and construed in accordance with
     the laws of the Province of Ontario and the federal laws of Canada
     applicable therein, including the Copyright Act (R.S.C., 1985, c. C-42).

11.2 Any dispute arising out of or in connection with this Agreement shall
     first be submitted to good-faith mediation in Toronto, Ontario, Canada.
     If mediation fails within 30 days, the parties agree to binding
     arbitration under the Arbitration Act, 1991 (Ontario).

11.3 The parties consent to the exclusive jurisdiction of the courts of
     Toronto, Ontario for any matters not subject to arbitration.

12. GENERAL PROVISIONS
════════════════════════════════════════════════════════════════════════════════

12.1 Entire Agreement. This Agreement constitutes the entire agreement
     between the parties with respect to the subject matter hereof and
     supersedes all prior discussions, negotiations, and agreements.

12.2 Amendments. No amendment or modification of this Agreement shall be
     binding unless made in writing and signed by both parties.

12.3 Waiver. No waiver of any provision of this Agreement shall be effective
     unless in writing. No waiver shall be deemed a continuing waiver or
     waiver of any other provision.

12.4 Severability. If any provision of this Agreement is found to be invalid
     or unenforceable, the remaining provisions shall continue in full force
     and effect.

12.5 No Partnership. Nothing in this Agreement shall be construed as creating
     a partnership, joint venture, agency, employment, or franchise
     relationship between the parties.

12.6 Notices. All notices shall be in writing and delivered by email or
     certified mail to the addresses set forth herein.

12.7 Electronic Signatures. The parties agree that electronic signatures
     shall be deemed valid and binding under the Electronic Commerce Act,
     2000 (Ontario).
